Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Berhana, including the website at berhana.ai, the patient workspace, the provider console, and any related applications, features, or content (together, the “Service”). The Service is operated by Berhana (“Berhana”, “we”, “us”, or “our”).

By creating an account, booking a session, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

You must be at least 18 years old and legally able to enter into a binding agreement to create an account. The Service is not directed to children, and we do not knowingly allow anyone under 18 to hold an account. If we learn that an account belongs to a minor, we may suspend or close it.

You must provide accurate, current, and complete information when you register and keep it up to date. You may not create an account using another person’s identity or share a single account between multiple people.

Berhana is a clinical care platform that helps you find and book licensed therapists and psychiatrists, attend video sessions, and keep scheduling, preparation, session summaries, assessments, billing, and messages in one private workspace.

Clinical services are provided by independent licensed clinicians, not by Berhana. Your clinician is responsible for the care they provide, including diagnosis, treatment, prescribing, and clinical judgement. Berhana does not practise medicine, does not supervise clinical decisions, and does not guarantee any particular outcome.

Berhana is not an emergency or crisis service. If you are in immediate danger or need urgent help, contact your local emergency number or a crisis line. Do not use the Service, Berhana AI, or the messaging features to request emergency assistance.

You are responsible for the activity that happens under your account and for keeping your sign-in credentials confidential. Use a strong, unique password, keep your email address secure, and tell us promptly at hello@berhana.ai if you believe someone else has accessed your account.

We may require additional verification, such as confirming your email address or identity, before enabling certain features. You can close your account at any time from settings.

A booking requests a session with a clinician at a date and time shown in the workspace. A booking is confirmed only when the clinician or the Service confirms it. Availability, time zones, and session lengths are displayed before you confirm.

Cancellation, rescheduling, late-arrival, and no-show rules are set by your clinician and shown before you book. If you cancel or miss a session, the clinician’s policy applies, together with any rights you have under applicable law. Repeated no-shows may affect your ability to book.

Session rates, plan prices, and any applicable taxes are shown at checkout or in the workspace before you confirm a purchase. Rates are listed in US dollars unless stated otherwise. By confirming a purchase, you authorise us and our payment processors to charge the amount shown using your selected payment method.

If you purchase a recurring plan, it renews automatically at the interval shown until you cancel. You can cancel future renewals from your billing settings; cancellation stops the next charge but does not automatically refund amounts already paid, except where required by law or the applicable clinician policy.

Berhana is not an insurer. You are responsible for any amount your insurance does not cover, and we do not guarantee that any service will be reimbursed. Contact us within 30 days if you believe you were charged incorrectly.

Video sessions take place in a private room linked to your workspace. You are responsible for attending from a private location and for the device and connection you use. Sessions may be interrupted by technical issues; if that happens, contact your clinician through the workspace.

We do not record video sessions by default. You may not record a session without the prior consent of everyone in it, and you may not publish or redistribute a session. Any transcript or summary made available in the workspace is part of your record and is handled as described in the Privacy Policy.

Berhana AI is an assistant inside the workspace. It can help you understand your records, prepare for a session, find information, and navigate the product. It may also propose actions, such as booking or rescheduling; actions that change your records require your approval before they run.

AI output can be incomplete, inaccurate, or out of date. It is not medical advice, does not create a clinician–patient relationship, and must not be used as a substitute for professional evaluation or emergency care. Assessments in the Service are screening and self-description tools, not diagnoses.

Do not rely on the Service to detect or respond to a medical emergency or a change in your condition. Always follow your clinician’s instructions and seek in-person care when needed.

You agree not to:

• use the Service for unlawful, harmful, or fraudulent activity;
• impersonate another person, misrepresent your identity, or access an account that is not yours;
• attempt to probe, scan, or test the security of the Service, or interfere with its operation;
• scrape, copy, or resell the Service or its content except as permitted by law or by us in writing;
• upload malware, or content that infringes another person’s rights or violates their privacy;
• use the Service to harass, threaten, or discriminate against a clinician or any other person; or
• use Berhana AI to provide clinical care to another person.

You keep ownership of the information and content you submit to the Service, such as preparation notes, messages, and assessment responses (“Your Content”). You grant Berhana a limited licence to host, store, process, and display Your Content only as needed to provide and secure the Service, comply with law, and support you.

Your clinician can see the content associated with your care, as described in the Privacy Policy. Do not upload content you do not have the right to share. You are responsible for the accuracy of what you submit.

Clinician profiles describe credentials, specialties, modalities, languages, and rates. We take reasonable steps to verify that a clinician holds the licences they claim and to review profiles periodically, but we do not guarantee the completeness of a profile. You are free to ask your clinician about their qualifications and to change clinicians at any time.

The Service relies on third-party providers for hosting, authentication, video, AI processing, email delivery, document storage, analytics, and error monitoring. Those providers process information on our behalf under their own terms and safeguards. The Service may also link to third-party websites; we are not responsible for their content or practices.

The Service, including its software, design, text, graphics, and trademarks, is owned by Berhana or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for your personal, non-commercial care. You may not copy, modify, distribute, sell, or reverse engineer any part of the Service except as permitted by law.

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Berhana disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any information in it is accurate or complete. Nothing in these Terms limits rights you have under mandatory consumer-protection or healthcare laws.

To the fullest extent permitted by law, Berhana will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or relating to your use of the Service.

Our total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid to Berhana for the Service in the 12 months before the event giving rise to the claim and (b) US$100. These limits do not apply to liability that cannot be limited by law, including liability for death or personal injury caused by negligence, fraud, or wilful misconduct.

You agree to indemnify and hold Berhana harmless from claims, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or content you submit, except to the extent the claim is caused by Berhana’s own negligence or misconduct.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if your use creates a risk to another person or to the Service.

Where it is safe and lawful to do so, we will give you notice and a chance to export information you are entitled to. Sections that by their nature should survive termination — including content ownership, disclaimers, limitation of liability, indemnity, and governing law — will survive.

We may update these Terms as the Service changes. When we do, we will revise the date at the top of this page and, for material changes, provide reasonable notice in the workspace or by email. Continuing to use the Service after an update takes effect means you accept the updated Terms.

These Terms are governed by the laws applicable where Berhana is established, without regard to conflict-of-laws rules. Disputes will be brought in the courts located there, unless mandatory consumer law gives you the right to bring a claim elsewhere. Before filing a claim, please contact us so we can try to resolve the issue informally.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms and the Privacy Policy are the entire agreement between you and Berhana regarding the Service.
